Part A — Founding 100 Terms
Effective date: Not yet in effect. Awaiting final approval Terms version: founding-100-v1
1. Who we are
Kiwi Rewards Club is operated by Kiwi Rewards Club Limited (“KRC”, “we”, “us” or “our”), NZBN 9429053934307, of Private Box Limited, Unit A Level G, 26 Hobson Street, Suite 1377, Auckland 1010, New Zealand. These terms govern the complimentary Founding 100 membership offer and each accepted Founding membership.
2. Important summary
Available to the first 100 accepted eligible members. Complimentary while your valid Founding membership remains active and KRC continues the Elite programme or a substantially equivalent successor. If you surrender it, you cannot claim it again.
- Up to 100 eligible people can receive a complimentary Founding Elite membership.
- No payment or payment card is required to claim it, and the membership has no recurring membership fee while it remains valid under these terms.
- The offer is for people aged 18 or older who ordinarily reside in New Zealand.
- One membership is available per person. It cannot be transferred, sold, assigned or inherited.
- A registration or page view does not reserve a place. A place is confirmed only when KRC's server accepts an eligible claim and displays or sends confirmation.
- The offer is a membership offer. It does not include a prize draw, competition ticket or promotional entry.
- Available partner and KRC benefits can change. KRC will not advertise an unavailable benefit as current.
- If you surrender the Founding membership, you cannot claim it again.
- Nothing in these terms limits rights that cannot lawfully be limited, including rights under the Consumer Guarantees Act 1993 and Fair Trading Act 1986.
3. Eligibility
To claim and keep a Founding membership, you must:
- be at least 18 years old;
- ordinarily reside in New Zealand when you claim;
- use your own KRC account and verified email address;
- provide complete and accurate required information;
- accept the current Founding 100 Terms and Privacy Policy; and
- not already hold, or have validly received and later surrendered, a Founding membership.
KRC may ask for proportionate evidence of age, identity, residence or account ownership if reasonably needed to protect the 100-place limit or investigate suspected fraud or duplication.
4. How a place is confirmed
Founding places are allocated to eligible, valid claims in the order KRC's authoritative server successfully commits them. An account creation, form submission, displayed counter, unfinished claim, client-side success message or failed request does not itself confirm a place.
A place is confirmed only when KRC:
- authenticates the account and verifies the required account details;
- records acceptance of the applicable terms and privacy notice;
- confirms an available place and the person's eligibility; and
- atomically assigns a Founding cohort number and returns confirmation.
The displayed remaining-place count is informational. The completed server record is authoritative. If the cohort fills before a claim completes, the person will not receive a Founding place but may be offered the free waitlist.
5. One person, one membership
There is a limit of one Founding membership per natural person. Founding memberships and cohort numbers have no cash value and cannot be transferred, sold, assigned, inherited or held for somebody else.
KRC may review registrations that reasonably appear duplicated, automated, fraudulent or inaccurate. A shared household, address, device, phone or network is a review signal, not automatic proof of wrongdoing. Unless urgent security action is reasonably necessary, KRC will give the affected person a reasonable opportunity to explain or correct a suspected match before a final adverse decision.
6. Complimentary membership and “lifetime” description
KRC does not charge a joining fee or recurring membership fee for a confirmed Founding membership. Claiming or joining the waitlist does not authorise any current or future charge.
“Free Elite membership for life” and “lifetime free” mean that KRC will not charge a recurring membership fee while:
- the confirmed Founding membership remains active;
- the member has not surrendered it;
- it has not been lawfully terminated for a serious or repeated breach, confirmed fraud, ineligibility, misuse or a material security/legal risk; and
- KRC continues operating the Elite membership programme or a substantially equivalent successor.
It does not mean the member's natural lifetime, create a transferable lifetime voucher, or guarantee that KRC will exist or operate an unchanged service indefinitely. KRC will not terminate a compliant member simply to replace them with a paying customer or avoid this promise.
7. Membership benefits
Founding members receive the Elite benefits identified as currently available in their account or on the offer page. Individual partner offers, stock, locations, booking rules, exclusions and redemption periods may change. Independent partners may apply their disclosed terms.
KRC will describe benefits accurately and will not present a future, expired or unavailable benefit as current. KRC may add, replace or withdraw individual benefits as supplier arrangements and the service evolve. Where reasonably practicable, KRC will give advance notice of a materially adverse change and will not use this clause dishonestly or for an improper purpose.
KRC does not guarantee a particular dollar saving, a fixed number of partners, coverage in every region, or that every offer will suit every member.
8. No prize promotion or entry
The Founding 100 offer itself is not a prize draw. Claiming, holding, using or surrendering a Founding membership does not create or purchase a promotional entry, ticket, chance, entry balance or right to win a prize.
If KRC later offers a legally approved promotion, it will have separate rules published before participation. No future promotion is promised by these terms.
9. Account responsibilities
You must keep your details and credentials accurate and secure, use benefits only for lawful personal purposes, and promptly report suspected unauthorised access. You must not create duplicate or synthetic identities, transfer benefits contrary to their terms, automate claims, impersonate another person, exploit a vulnerability, manipulate a counter or entitlement, scrape personal information, or use KRC unlawfully.
KRC may rate-limit, pause or review activity reasonably believed to threaten users, the service or fair access.
10. Surrender, suspension and termination
You may surrender the Founding membership and close your account through the account control or by contacting support@kiwirewards.club. Once surrender takes effect, the Founding membership cannot be reclaimed and the place is not reissued merely because of that surrender.
KRC may temporarily suspend access while reasonably investigating unauthorised access, a material breach, fraud, duplication, ineligibility or a material legal/security concern. Except where urgent action is reasonably necessary, KRC will explain the issue and provide a reasonable opportunity to respond.
KRC may terminate a Founding membership only for a material or repeated breach not remedied after reasonable notice, confirmed fraud or deliberate manipulation, confirmed ineligibility, serious misuse, a material security/legal requirement, or permanent lawful closure of the relevant programme or business. KRC will not disadvantage a person merely for making a genuine complaint or exercising a legal right.
11. Service availability and changes
KRC will use reasonable care and skill in providing the membership service. Maintenance, internet or supplier failures, cybersecurity events, or events outside KRC's reasonable control may temporarily affect availability. KRC will take reasonable steps to restore a material service failure.
KRC may change these terms prospectively where reasonably necessary for law, security, technology, supplier arrangements, correcting an error or genuine service improvement. KRC will give reasonable advance notice of a materially adverse change where practicable. A change cannot retrospectively turn the complimentary claim into payment authority or remove a valid Founding status without a ground in these terms.
12. Communications and privacy
KRC may send essential account, security, membership, benefit-change and legal notices needed to administer the membership. Optional marketing email or SMS is separate and requires the applicable consent or other lawful basis. Unsubscribing from marketing does not itself close the membership.
KRC handles personal information under the Privacy Policy and Privacy Act 2020.
13. Consumer rights, third parties and liability
Nothing in these terms excludes, restricts or modifies a right or remedy that cannot lawfully be excluded, including under the Consumer Guarantees Act 1993, Fair Trading Act 1986 and Privacy Act 2020.
Some benefits are supplied by independent merchants. The merchant's disclosed redemption and supply terms may apply, but that does not remove any legal responsibility KRC or the merchant has to the member.
To the extent permitted by law, neither party is responsible for indirect loss that was not reasonably foreseeable when the arrangement was made. This does not limit liability that cannot lawfully be limited, or liability for fraud, wilful misconduct or breach of privacy.
14. Complaints and governing law
Contact support@kiwirewards.club with an account or membership complaint and privacy@kiwirewards.club with a privacy request or complaint. Do not email a password, verification code or full card number.
KRC will acknowledge a customer complaint within five working days and aim to give a substantive response within 10 working days, or explain why more time is reasonably needed. These terms do not prevent a person from using the Disputes Tribunal, courts or an applicable regulator.
These terms are governed by New Zealand law. If a provision is unlawful or unenforceable, it will be read down or severed to the minimum extent necessary and the remaining terms continue.
